Bylaws are the rules that govern the internal management of a nonprofit. They are written by the organization’s founder(s) or directors and cover, at minimum, topics such as how directors are elected, how meetings of directors are conducted, what officers the organization will have, and what their duties and responsibilities are. Bylaws should set clear roles and responsibilities so that people can understand how to proceed, without litigation. Well-written bylaws help shape power relationships within a nonprofit organization, provide unambiguous procedures to prevent disputes, and reduce the risks of litigation. The organization does not formally exist until the bylaws have been approved by the board of directors.
