Developing or Revising Non-Profit Bylaws

Bylaws are the rules that govern the internal management of a non-profit organization. They are usually written by the organization’s founder(s) and/or Directors and cover, at minimum, topics such as how Directors are elected, how meetings are conducted, what officers the organization will have, and what their duties and responsibilities are. As such, they help shape power relationships within the organization, provide unambiguous procedures to prevent disputes, and reduce the risks of litigation. The organization does not formally exist until the bylaws have been approved by the Board of Directors. For the most part, non-profits don’t think to review their bylaws until a dispute arises, the Board needs procedural guidance, or a committee is considering engaging in a questionable activity. In these eventualities, the bylaws should provide answers; not raise questions. And that's why you need bylaws that work. There is both art and science involved in drafting bylaws that work. Well-written bylaws should not be open to several interpretations; they should set out clear roles and responsibilities so that the non-profit Boards and committees will understand how to conduct business professionally; and without fear of litigation.
