In the past, non-profit organizations operated under constitutions and bylaws, but today bylaws are usually sufficient. Bylaws are the rules that govern the internal management of a nonprofit. They are written by the organization’s founder(s) or directors and cover, at minimum, topics such as how directors are elected, how meetings of directors are conducted, what officers the organization will have, and what their duties and responsibilities are. The organization does not formally exist until the bylaws have been approved by the board of directors. Very few people bother to look at their nonprofit bylaws - until they want to take some unusual action or there is a dispute. Bylaws should provide answers, not raise questions. And that's why you need bylaws that work: • Not bylaws that are open to several interpretations; • Not bylaws that describe the way things used to be done; • Not bylaws that fail to cover key power issues; But bylaws that set out clear roles and responsibilities so that people can understand how to proceed, without litigation. There is both art and science involved in drafting nonprofit bylaws that work.
