Articles of incorporation is a legal document that is filed with the state to create a corporation. Nonprofit articles contain the organization’s basic information (name, registered agent, office address, etc.) and important tax exemption information. Since your situation may differ from any samples you may find on the internet, we recommend that you find a qualified nonprofit consultant or attorney when creating your own organization’s articles of incorporation. Bylaws define how a nonprofit organization will be managed and how it will run. They determine which staff and board members have authority and decision-making responsibilities and how those responsibilities should be carried out. They create a framework for the organization, and aid in resolving internal disputes. They also describe the rules for calling board meetings, and how and when board members are elected. **** This seminar has been rescheduled to Tuesday night, May 19 from 6 pm - 9 pm at the JCC WDC. The bylaws that you set up for your nonprofit organization need to be unique to you. Looking at other nonprofit bylaws can be helpful but to simply cut and paste them and use them for you could be very harmful. You need the expert guidance of a consultant or an attorney to make sure all the provisions needed and that your unique DNA is represented. Both your Articles of Incorporation and Bylaws will be sent to the IRS and they will carefully screen them to assure that all the proper provisions are in place. Additionally potential funders may also want to see your bylaws to give them some assurance that your organization has the functional structures needed to help you reach your full potential.
